Welcome to Steppr and thank you for considering being a Partner!

We know this document is a little weighty. Please do ensure you read it as it governs your use of our service and platform. However, we’ve also put a few key points together, as we view them, for you to bear in mind:
- The sale of any vouchers, gifted or not, are between you and the purchaser, not us.
- We do not charge you or take any fee from standard voucher sales.
- Certain optional voucher types may carry a commission set by Steppr. Use of these features is clearly signed and optional and can be toggled on or off at any time in your Basic Information settings.
- We charge subscription fees for some Partner plans (free option available) and for certain optional tools. Pricing is shown in your Partner Account, and billing is managed via your Stripe Customer Portal.
- We also take a fee for the gifting service, equal to the additional price paid by the customer.

PARTNER TERMS & CONDITIONS

1. Interpretation

Any headings contained within this document are for convenience only and do not limit or otherwise affect the Partner Terms & Conditions (“Partner T&Cs”, “Terms”). Words in the singular shall include the plural, and vice versa. Some of the terms may differ from the way they are used in other documents we disseminate or publicly display. Emails from “Parties” (see “Some Definitions”) or their authorised representatives or signed letters sent by post will suffice where there is a stipulation for written permission. Where numbers of days are stated, this references numbers of business days (working days), which is any day of the week excluding Saturday and Sunday, bank holidays, Christmas Day or Good Friday. For clarification about anything within the Terms, you must contact Steppr before using the service.

2. Some Definitions

The following capitalised terms have the following meanings in the context of this document, and in any other documents or materials that refer to this document. They may also be more fully explained within the relevant parts of the Terms of Service:
2.1 “Steppr”: Steppr Limited (“we”, “us” or “our”).
2.2 “Partners”: Businesses (“you” or “your”) who register for a “Partner Account” on our “Platform” by signing up to use the “Service”. If you are signing up as a representative, agent, intermediary, aggregator, or similar entity that has been authorised by a group of businesses to represent them, you shall still be referred to and bound by the same Terms as a Partner. These Terms apply directly to you and cannot be delegated. Any tasks or operations in these Terms, whether or not you assign them to those you represent, are still referred to as though you are conducting them. You are solely responsible for ensuring the compliance of all businesses you represent, and financial liability with respect to these Terms lies with you. You must conduct any necessary due diligence on the businesses in the group you represent regarding their business operations, compliance with applicable laws, regulatory and licensing requirements. Both you and the businesses in the group you represent must clearly understand and abide by your obligations to prevent disputes and ensure operational clarity. You must notify Steppr by email immediately of any changes in your representation of any of the businesses that may affect compliance with these Terms. Descriptions of your business or role must clearly state your relationship with the businesses you represent.
2.3 “Service”: Steppr facilitates sales of “Vouchers” and “Gifts” between Partners and “Users” by providing the Platform for them to meet. Steppr also provides promotional tools allowing further options related to the issuing of Vouchers by Partners, controlled within a Partner Account. Our Service is for the UK only and cannot be used by non-UK Partners or Users.
2.4 “Users”: People who have downloaded or otherwise accessed the “App” and use it to browse “Campaigns” and purchase Vouchers and Gifts, or interact with the Platform through any other way. Their use of the Platform is governed by the User Terms & Conditions, which we encourage you to read, as well as the User Privacy Policy.
2.5 “Vouchers”: Unique codes sold or given (both also referred to as "issued") by Partners to Users (see “Voucher Terms”). They may be issued on their own or with the “gifting service” as “Gifts”.
2.6 “Website”: “steppr.com”, “steppr.co.uk”, “steppr.uk”, and all associated sub-domains such as “app.steppr.com”. Contains information about Steppr and the Service for prospective or current Users and Partners, as well as registration and account facilities for Partners and Users, and also enables Users to browse Partner Campaigns and purchase Vouchers and Gifts.
2.7 “App”: Any of our mobile applications, whether on Android or iOS or any other operating system, or our websites, that enable Users to browse Partner Campaigns and purchase Vouchers and Gifts. ‘App’ should be taken to include the User-related parts of the Website.
2.8 “Platform”: The medium (Website and App) through which the Service is performed.
2.9 “Campaigns”: Sales of Vouchers and Gifts, with bespoke parameters, created and initiated by Partners.
2.10 “Parties”: Steppr and the Partner (you) whom these Terms relate to. Both parties are independent businesses, and neither acts as agent for the other.
2.11 “Effective date”: Date on which a business registers with Steppr by creating a Partner Account to use the Service, thereby becoming a Partner.
2.12 “Gifts”: Vouchers bought by a User by using the “Gifting Service”, that are then sent to a different end-user (“End-Recipient”).
2.13 “Gifting Service”: This may be email-based and/or via physical posting. The Gifting Service incurs an additional expense paid by the User to the Partner. Please see the Gift section below for more information.
2.14 “Partner Account”: Business’ account created by registering on the Website, which is required for, and allows access to and use of, the Service, subject to these Terms. Must be requested by a human. Main Partner Accounts have the functionality to create other Partner Accounts for the same Partner’s business, and each account is bound by these Terms.
2.15 “Term”: Duration of the Agreement, which commences indefinitely from the Effective Date until terminated.
2.16 “Agreement”: These Terms and any other documents, terms or policies referred to, or inferred, constitute our entire agreement with you, and govern your use of our Service. More information is contained within this document.
2.17 “Confidential Information”: Information that is to be treated as confidential, as detailed in the relevant section of the Terms.
2.18 “Website Connection”: This is what we call the application programming interfaces (APIs) we have developed that are required to connect the Platform to Partners’ “Checkouts” or the “Manual” process in which Partners perform the necessary actions themselves. A specific Website Connection (API) must be established in order for the Partner to be allowed to make use of the Service. The connection allows the Platform to know about and/or facilitate in the processes of issuance, redemption, cancellation and general monitoring of Vouchers and Gifts. The Website Connection may also be referred to as the "Steppr API", a plugin, and an integration, and the term may also encompass other measures and levels of integration clearly offered and accepted by us. It is clearly labelled “Website Connection” on Partner Accounts.
2.19 “Gifting Fee”: Fees payable to Steppr by a Partner in return for supply of the ability to offer the Gifting Service to Users.
2.20 “Outstanding Vouchers”: Vouchers that have been issued by Partners to Users, although are not yet redeemed (also simply called “Outstanding”).
2.21 “Checkout”: This refers to the Partner’s online business or online store or website (or website builder and management platform, such as a Shopify or WordPress account). It includes the “basket” or payment pages of a Partner’s website. In the case of a Manual Website Connection, this may be synonymously achieved in person, or other methods such as via telephone or email.
2.22 “VouchReach”: A tool within the Service where Steppr sends promotional voucher-based outreach emails to a Partner’s existing customers using contact details supplied by the Partner.
2.23 “VouchReach Recipient”: An individual whose contact details are supplied by the Partner for use with VouchReach.

3. Introduction to Terms of Service

Please read these Terms carefully before using our Platform and/or making use of our Service in any way, as they apply to and govern all Partners’ use of our Service. The Terms contain important information about your rights and obligations. By using our Service in any way, you are agreeing to the Terms and any Agreement they are part of, as well as certifying you have read and understood our Partner Privacy Policy, and any other relevant documentation as may be clearly specified, all of which may be updated from time to time. Additional information is also found in the Resource Centre FAQs (also called Partner FAQs, accessed from your Partner Account). By continuing to use our Service, you understand that this shows you continue to agree to the Terms. You should not use, or continue to use the Service, if you disagree with any part of this.

4. Information About Us

The Platform is owned and operated by Steppr Limited, which is incorporated and registered in England and Wales, with company number 14433954. Our registered office is 128 City Road, London, United Kingdom, EC1V 2NX. ‘Steppr’ is our trading name, and is a registered trademark owned by Steppr Limited.

5. Description of Our Service

Our Service is intended to help businesses in the UK gain and retain new customers. Through our Platform, we provide you with the tools to create bespoke Campaigns comprising of Vouchers to be sold on their own or as Gifts, as well as show you some information regarding the Vouchers and Gifts on your Partner Account (which may include whether they have been redeemed or not), and the ability to refund and/or cancel them. We also provide you with the ability to issue Vouchers through promotional emails, using our VouchReach tool. You are the creator, issuer and seller (sometimes all referred to herein as “seller” or similar variant) of these Vouchers and Gifts, not Steppr (we do not sell or resell your Vouchers, our role is to display them to Users). We act to facilitate your Voucher and Gift sales by displaying these Campaigns (and therefore Vouchers) on a meeting place in the form of our Apps, to Users, who can choose to purchase them. The sale contract, and subsequent obligations regarding the Vouchers and Gifts, is only between you (Partners) and Users, not Steppr. User payments are directly received and controlled by you, not Steppr.
Vouchers that you have issued to Users can then be redeemed on your Checkout through integration of the Steppr API (Website Connection), whereby a User is able to type their Voucher’s unique code into the displayed input field and have it recognised by your Checkout, or via a Manual process for Checkout. For as long as you use our Service, you agree to have your Checkout connected to our Platform using this Website Connection. Connections must be maintained for the duration of any ongoing Campaigns and while any of your Vouchers are Outstanding. Steppr is not responsible for any costs associated with establishing and maintaining this connection. We may charge you subscription fees for access to certain Partner plans and tools, as well as clearly labelled commissions on certain optional voucher types, and the Gifting Fee. All such fees will be clearly displayed in your Partner Account before you incur them.
We will use reasonable care and skill in the performance of our Service – what is reasonable is at our sole discretion and is not a guarantee of any specific level of service. You understand that we may need to make changes to the Service to comply with applicable laws and regulations, and we will endeavour to notify you beforehand where this is necessary.

5A. Partner Plans and Limits

We may offer different Partner plans with varying features, limits and fees (for example Free, Starter, Growth, Pro and Enterprise plans). The specific features, usage limits and pricing for your current plan will be shown in your Partner Account. We may change or withdraw plans, features and limits from time to time, and will notify you where required by law. Any such changes will not affect your obligation to honour Outstanding Vouchers.

6. Gifts

Gifts are “gifted Vouchers”. These are Vouchers that are bought by Users by using the Gifting Service. The Gifting Service enables the Voucher to be sent to an End-Recipient designated by the purchasing User.
The Gifting Service incurs an additional expense for the User, and its price is added to the Voucher price to arrive at the total amount the User is required to pay for the Gift to the Partner.
Users are supplied the Gifting Service by Partners, and pay Partners the “gifting price” for its use. Steppr provides Partners the tools to offer the Gifting Service, and charges the Gifting Fee (equal to the gifting price) to Partners for each instance of its use during a purchase. More information about the gifting process can be found in our Partner FAQs.

7. VouchReach

VouchReach (“VouchReach offers”) allows Partners to send time-limited promotional voucher offers via email to their existing customers. These offers are free to claim and no Voucher is created until the recipient clicks “Claim” and completes the process, thereby also accepting the User Terms & Conditions.
(a) VouchReach allows you to upload or otherwise provide customer contact details (such as email addresses and names) so that Steppr can send voucher-based outreach emails to those individuals on your behalf.
(b) You remain the data controller in respect of the customer details you provide for VouchReach. Steppr acts as your data processor when sending such emails, and will only process that data in accordance with your documented instructions and this Agreement.
(c) You are solely responsible for ensuring you have a valid lawful basis (including any consents required under applicable data protection and e-privacy laws, such as PECR) to allow Steppr to send marketing communications to VouchReach Recipients on your behalf.
(d) You will not upload any contact details to VouchReach where the individual has objected to, or opted out of, receiving marketing from you.
(e) Partners must set a "Claim By" date, after which the promotional offer cannot be claimed by the recipient of the email.
(f) Partners must set a "Redeem By" date, which defines the period for which any claimed Voucher must be honoured.
(g) We will not use VouchReach Recipients’ contact details to build our own marketing lists or contact them for separate marketing solely because you have provided those details for VouchReach. We may only do so where we already separately hold a lawful basis to contact that individual in our own capacity as data controller.
(h) We may provide you with aggregated or anonymised performance metrics (for example delivery, open and click rates) for your VouchReach campaigns.
Unclaimed offers create no redemption obligations and may be cancelled by you at any time before the Claim By date. Once claimed, these Vouchers must be honoured in the same way as any Voucher sold through a standard Campaign, and treated as described in the Voucher Terms. Partners must not charge customers for claiming a VouchReach voucher.

8. Ownership of and Access to Our Service

We own or license all the copyrights, trademarks, registered and unregistered designs, software, mobile applications, know-how, domain names, social media identifiers, and data collected through or from our Platform that we have permission for or are allowed to collect, any other work or content created by us or under our direction, and other forms of intellectual property within and pertaining to our Service. You agree not to take any action to object to or challenge our rights in relation to our intellectual property.
You may not use, copy, download, transfer, rent, lease, distribute, broadcast, transmit, perform, modify, adapt, translate, reverse-engineer, derive any similar works from, publicly display, sell, sublicense, duplicate or reproduce in any other way, or through any other method, any of the Service, its content or intellectual property, or use it as a part of or a base for products or services that are prepared for commercial use, sale, lease, sublicense, distribution or access, except that we grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable license during the Term to access and make use of one main Partner Account (and associated Partner Accounts that the main account may create) solely for the purposes permitted by the Partner Account and the Service, without our express prior written consent. We reserve the right to take any appropriate action to restrain or prevent the infringement of such intellectual property rights.
Except as specifically stated within this Agreement, you, or any third parties related to or assisting you, are not authorised to make use of our intellectual property or our Service through any medium without our express prior written consent, unless another written agreement superseding this is made between you and Steppr.

9. Partner Accounts

A Partner Account is strictly for authorised members of your business only. Some of the information you are required to input into your Partner Account (the “Content”) is described in “Content You Provide”. Your Partner Account may have the functionality including but not limited to: manage capabilities of personal details (such as accountholder name and password) and company-level details (dependent on the permission level of the account set by the main Partner Account); create and monitor Campaigns; view information about how the Platform operates and how to use the Service.
By inputting any information into your Partner Account, you are agreeing to provide us with complete and accurate information. If any of this information changes, you must update your Partner Account. You must not use any false or misleading information, or act in any way to mislead us in an unlawful manner.
You are solely responsible for protecting and maintaining the confidentiality of the private details of your Partner Account (such as your login password). You agree to notify us immediately upon becoming aware of any unauthorised instance of use of these details, or any other breach in relation to Steppr. Partners are solely responsible for all access and activity made through the Partner Account assigned to, or created, by or for, that Partner, whether this is performed by the Partner’s employee, or by another affiliated individual or entity the Partner may or may not have allowed to access or use the Partner Account.
A Partner’s access to a Partner Account and/or the Platform may be changed, varied, altered, restricted, refused, denied or withdrawn by Steppr, at our sole discretion, without notice and for any reason at any time. We are not liable for any interruptions in access to our Service due to events within or outside of our control and may modify or change it in any way we see fit, without notice and for any reason at any time.
You understand and agree not to create or attempt to create a Partner Account if we have previously deactivated your prior Partner Account, or taken similar actions, in response to you breaching any part of this Agreement or violating the law, unless you have our express prior written permission. We reserve all rights, but are under no obligation, to monitor any Content that you provide and/or submit to us, and to remove it at our absolute discretion at any time, for any reason and without notice.
This section, as well as the rest of the Terms, applies for all Partner Accounts, as well as any additional accounts created by primary Partner Accounts, with differing permission levels granted, for other authorised people within the same Partner’s business.

10. Content You Provide

The Content required to be input into the Partner Account may include information in the following general categories (explained clearly on the Platform itself): (a) Initial sign up information; (b) Business information; (c) Campaign creation information.
In order to use our Service, you must provide us with any and all relevant information required or that we ask for to be input in your Partner Account (the “Content”). In doing so, you are ensuring beforehand that you are allowed to do this, it is not confidential between you and another third party, you have any appropriate rights (including intellectual property rights such as but not limited to copyrights and trademarks), permissions, consents, license and sublicensing rights or otherwise as required. You must also adhere to any other rules regarding Content detailed elsewhere within this document. Failure to do this means we can terminate the Agreement between us.
Any of the Content may be shared or shown to Users unless otherwise stated here or on your Partner Account, and so in sharing it with us and contributing it to our Platform, you are granting us the non-exclusive, royalty-free and worldwide license and right to use, publish, reproduce, translate, perform, create derivative works from, distribute and publicly display the Content to carry out the Service in any manner we deem appropriate. After the Term of this Agreement, we may continue to use the Content for the purposes of describing our Service.

11. Campaigns

You may be required to input certain details about your business in order to initiate a Campaign, and some of this information may appear on the App for Users to view. You will also be required to enter details about the Vouchers you want to issue and sell, including their sequential discounts. This information, and more about the functionality of Campaigns, is explained on the Platform. We may, at our discretion, allow Users to purchase a Voucher at any of the discount levels you provide, irrespective of the intended sequence, and with or without allowing subsequent discounts. Partners may request to opt out of this functionality by emailing us.
We are not authorised to change any of the Campaign parameters that you set, although we may contact you, using the details you have provided in your Partner Account, if we believe there may be a reasonable and valid reason to consider changing them, at our sole discretion. We may also pause or terminate your Campaign if any of the Partner Account details or Campaign parameters breach this Agreement or rules that are clearly stipulated on the Website, or for any other reason and at any time, at our sole discretion. You understand that any Campaigns (or Vouchers) you issue may be offered to all or part of our total number of Users and potential Users, which we may segment and decide based on our own analyses.

12. Voucher Delivery & Storage

When a User buys one of your Vouchers or Gifts, the Voucher code is delivered to that User. You may also have access to the code(s) and related information, such as the expiry date, through your website builder, for example Shopify or WordPress, and warrant that you will keep each one unedited, unaltered, secure, confidential and private. While some Voucher information is also available to you through the Platform, you are still responsible for maintaining your own secure records of all Vouchers purchases (both Outstanding and redeemed). You agree not to edit or alter current requirements, or add any additional requirements to Vouchers or Gifts you have issued, such as minimum purchase requirements, using your website builder, since this may interfere with the Service and lead to Users being misled. If you do not maintain adequate security measures concerning the confidential and secure storage of Voucher codes, which are a condition of your use of the Service, then you are liable to fully refund all exposed Vouchers and Gifts at your own expense.

13. Voucher Redemption

The contract regarding a specific Voucher’s redemption is between the Partner who has issued the Voucher and the User who is redeeming the Voucher. It is not with Steppr. You are responsible for all the customer service associated with the redemption of Vouchers, which Steppr may or may not assist with, at Steppr’s sole discretion. We are not responsible or liable in any way for any disagreement between you or a User, or any refund required. See ‘Voucher Terms’ for more detailed information about your Voucher terms.

14. Your Relationship with Us

You agree and acknowledge that, in accordance with this Agreement, we: (a) give you the tools to assist in your creation of Campaigns in which you issue, supply and sell Vouchers and Gifts; (b) display the Campaigns and associated Vouchers and Gifts to Users on our Apps (and via potential future extensions to the Platform); (c) do not guarantee any Voucher or Gift sales, and simply facilitate the potential for meetings between you and Users; (d) are not involved with the processing of any User payment for the Vouchers or Gifts, which is between you and Users, facilitated by your payments processor; and (e) give you the ability to access and store any Voucher codes on your own systems (which you hereby certify are secure and suitable) that are external to the Platform.
We may investigate or vet prospective and current Partners at our sole discretion, although this, and any Partner’s presence on our Platform, should not be taken to indicate in any way anything in relation to that Partner’s financial standing, creditworthiness, stability or reliability. You agree that we have your permission to review your credit history, perform a soft or hard credit check on you at our discretion, and may request any information necessary to do so and/or to satisfy any eligibility or other criteria we may have for our own purposes.
Users have a contract regarding the redemption of those Vouchers with you, not Steppr. You are solely responsible for ensuring the Voucher terms. We have no liability for harm or damages regarding the redemption of Voucher and subsequent purchase of goods/services provided by you. Neither us nor you have any other duties or responsibilities to each other, other than those detailed within this Agreement. Neither us nor you are authorised to enter into any other agreements with third parties on each other’s behalf.

15. Payments

15.1 Payments from Users
Any payment from Users for your Vouchers or Gifts is sent directly to you, through the use of your own account with a payments processor (such as ‘Stripe’) that is set up for your business. The payments processor account must be created by a party authorised by your business so that payments can be collected for your business. Your Partner Account prompts you to create, or connect an existing, account with a payments processor before you are able to issue and sell Vouchers and Gifts using Steppr. Continued use of this payments processor is a condition of your use of the Service, especially as you will not be able to accept payments without it. If you disconnect your account with a payments processor from your Partner Account, you will need to create and setup a new Partner Account in order to continue to use the Service. You are wholly responsible for the collection of User payments, payment of any associated fees, taxes and other charges, any refunds (or similar charges) there may be that relate to those payments you receive, and that you are properly connected with the payments processor. Your payments processor will display the most accurate information related to the status of payments and funds, not your Partner Account, which may not account for scenarios like transaction fees and partial refunds correctly.
It is your sole responsibility to determine which taxation obligations apply, and register for them, in any territory you operate, as well as to collect, report on, send, claim and/or remit any taxation amounts to the appropriate authorities, in connection with the issue, sale and redemption of Vouchers and Gifts, any User payments, or portions thereof, you receive for them, and any additional payments made by Users that are simultaneous with the Voucher redemptions. We may ask you to provide us with information you have that may be necessary for our own tax and other reporting purposes, which you agree to submit to us promptly when requested.
15.2 Partner Fees and Subscriptions
We may charge subscription fees for Partner plans and/or fees for certain optional tools and features, as described in your Partner Account (“Partner Fees”). Partner Fees are payable in GBP and are exclusive of VAT and any other applicable taxes unless stated otherwise.
(a) Billing and renewal – Subscription plans are billed in advance on a recurring basis (for example monthly or annually). All billing dates, upcoming charges, past invoices, payment methods, and plan details are managed through your Stripe Customer Portal, which you can access via your Partner Account. Subscriptions renew automatically until cancelled.
(b) Managing your subscription – You can view, change or cancel your subscription, update payment details and download invoices directly through your Stripe Customer Portal. Any changes you make in the Customer Portal take effect in accordance with Stripe’s rules for billing cycles.
(c) Refunds – Partner Fees (including subscription charges and fees for optional tools) are non-refundable, except where required by applicable law or where we agree to issue a refund at our sole discretion. Cancelling a subscription does not entitle you to a refund for any Partner Fees already paid, including for any unused portion of the current billing period.
(d) Free trials and promotions – If we offer free trials or promotional pricing, the applicable pricing will begin automatically at the end of the trial unless you cancel through the Stripe Customer Portal before the trial ends.
(e) Changes to Partner Fees – We may change Partner Fees from time to time. Where required by law, we will provide advance notice. Any updated pricing will take effect from the start of your next billing cycle. Continued use of the Service after the effective date of new fees constitutes your acceptance of them.
15.3 Payment Processing for Partner Fees
Partner Fees are collected and processed using third-party payment processors (such as Stripe). By providing payment details in the Stripe Customer Portal, you authorise Stripe to charge all Partner Fees (and applicable taxes) to your chosen payment method when they become due, including recurring subscription charges.
Your full payment card details are not stored or processed on Steppr’s systems. They are handled directly by Stripe in accordance with its own terms of service and privacy policy.
If a payment attempt fails, Stripe may retry the payment automatically. We may also suspend or restrict your access to paid plans or tools until outstanding amounts are settled via the Stripe Customer Portal.

16. Partner Privacy

Any personal information we may gain about you through the course of business, such as personal email addresses, will be treated in accordance with our Partner Privacy Policy as though it were the personal information of a User. For any concerns or queries about this, please contact us at team@steppr.com.

17. Representations and Warranties

You represent, warrant and undertake that:
(a) You have the authority, power, right and capacity to enter into this Agreement and perform any required obligations hereunder;
(b) This Agreement does not and will not conflict with any of your obligations to any third parties;
(c) Only authorised employees or representatives of your business shall access our Service and you will use all reasonable endeavours to prevent unauthorised access;
(d) You will only use our Service for the means we have clearly specified, implied or intended, and will comply with both the letter and the spirit of the Agreement, unless you have our express prior written consent;
(e) You will not use, access, interfere with or attack our Service, or any other services we rely upon, in any way that you know, or suspect, may be damaging to us, our other Partners or our Users. This includes acting in ways to decrease or disrupt their experience of our Service and attempting to interfere with or circumvent any security features we have in place;
(f) You will not attempt to gain access to areas of the Service and Platform that are restricted from Partners unless you have our express prior written consent;
(g) You will not engage in any form of data collection, data harvesting, data mining, or any other such similar activity in relation to us or our Service unless you have our express prior written consent;
(h) Any Content you contribute to our Platform or our Service is up-to-date and will not result in the infringement, dilution, misappropriation or other violation, anywhere in the world, of any other intellectual property rights, privacy or publicity rights, of any third party or any applicable law;
(i) No Content you contribute to our Platform or to our Service is or will be in any way unlawful or violating of any applicable regulations, encouraging of a criminal offence, giving rise to civil liability, misleading, false, deceptive, unfairly depicted or described, intimidating, threatening, slanderous, libellous, fraudulent, racist, abusive, pornographic, indecent, lewd, hateful, obscene, profane, defamatory, vulgar or otherwise objectionable, which we may determine at our sole discretion;
(j) Any Content you contribute to our Platform, including any business descriptions, is accurate and not misleading to Users, is free of any software viruses and similar attacks that may be detrimental, in any way, to us or any of our other Partners and Users, and must be free of political campaigning;
(k) Any Content you have on your own website and other places for the purposes of marketing and promoting your business and/or goods/services is up-to-date, accurate and not misleading in any way;
(l) Your own goods/services are not in any way unlawful, encouraging of a criminal offence, giving rise to civil liability, misleading, false, deceptive, unfairly depicted or described, intimidating, threatening, abusive, obscene, profane, defamatory, vulgar or otherwise objectionable;
(m) You will not use or attempt to use Steppr or any part of the Service for any illegal or unauthorised activities, or to solicit others to do so. Any breach or violation of this will result in the necessary action being taken;
(n) You intend to redeem without obstacle any Vouchers you issue when a User enters the associated Voucher code in the specified field at your Checkout (you do not redeem any Vouchers issued by other Partners, you only redeem Vouchers that your business issues) or contacts you for Manual redemption;
(o) You, your employees, and any contractors and agents you are affiliated with for your business have all received the appropriate training and education required, possess the relevant qualifications and professional competence, and comply with any required regulations and laws regarding the goods/services you offer;
(p) You are registered for relevant taxes in any territories you operate or have a presence in, as required by applicable law;
(q) You maintain any required insurance policies in connection with the provision of your goods/services upon redemption and understand that it is your sole continuing responsibility to do so;
(r) You will retain the value of any payments for Vouchers you receive in trust or separately in any other manner as required or permitted by the law until the Vouchers are redeemed, refunded or expired, or for as long as necessary under applicable laws;
(s) You will inform us if you cease to operate your business, there is any direct or indirect change to the shareholders or directors of your business, or the right to operate your business is transferred, permanently or temporarily, to another party. You will also inform us if you are experiencing, or believe you may be about to experience, financial distress related to issues including but not limited to bankruptcy, insolvency, administration and liquidation;
(t) You will not inflate your prices immediately prior to, during or after a Campaign as a means to reduce the value of goods/services for which a User can redeem their Vouchers;
(u) You are responsible and liable should you decide not to allow a User to redeem a Voucher, unless you suspect fraudulent or otherwise unlawful activity by the User;
(v) Regardless of any issues or concerns between you and Steppr, you have an obligation to redeem any Outstanding Vouchers, and to comply with any relevant laws regarding them. You will inform us if any reason becomes apparent whereby you will not, or may not, be able to honour redemptions of Vouchers bought from you by Users, and immediately provide refunds to Users in possession of Outstanding Vouchers instead;
(w) If you cancel a Campaign for any reason, or take any other action with a similar effect, you will honour any Outstanding Vouchers bought by Users during that Campaign;
(x) You will not engage in any conduct that, in our reasonable opinion, is wilfully detrimental to the business and/or goodwill of Steppr; and
(y) You will inform us as soon as reasonably possible if any of these aforesaid points change or become inaccurate.

18. Voucher Terms

These Voucher Terms apply to all Vouchers issued via the Service, including Vouchers sold through standard Campaigns, whether on their own or as Gifts, and Vouchers issued via VouchReach:
(a) Vouchers you issue/sell may be bought by Users for their personal use or as Gifts to another End-Recipient (who should be treated by you as Users for the activity of redemption);
(b) Vouchers issued immediately confer the rights to Users for those Vouchers to be redeemed (solely) with you;
(c) Vouchers purchased by Users are available to be redeemed immediately;
(d) Redemption will result in the bona fide provision of your goods/services to the User, up to the Voucher’s value (“face value”), with no additional charges or unfair fees imposed on the User;
(e) When a User purchases a Voucher from you, that User may then be eligible to buy a subsequent Voucher for the same face value at a greater discount (explained on Platform before Campaign initiation);
(f) Vouchers are considered issued upon delivery of the Voucher code to the purchasing User (which may be achieved through the User’s account on our Platform and or their external specified email address);
(g) Vouchers will be honoured until the longer of their expiry date (as selected by you upon deciding the parameters that apply to them upon issue) or that prescribed by law;
(h) You will treat Users redeeming your Voucher the same as your other (non-Voucher) customers, and your Returns & Refunds Policy will be the same for both customer categories;
(i) Redemption will not be restricted to a select, restricted or limited portion of your offering;
(j) Where possible, redemption of a Voucher by a User will not restrict their simultaneous redemption of another relevant Voucher, although we understand that certain platforms that online stores are built upon (website builders) may place limits on this;
(k) Redemption can occur alongside supplementary payment from a User/customer where necessary (if the basket amount exceeds the Voucher value);
(l) Redemption of Vouchers and the goods/services you subsequently provide will not be affected by whether additional payment is required from the User, or not;
(m) Supplementary payment required from a User who is also redeeming a Voucher can be achieved through the same payment methods you allow from non-redeeming customers;
(n) Goods/services you provide to Users redeeming a Voucher will be of at least the same quality and for the same purpose as that advertised by you (on our Platform, your business website(s) and anywhere else advertised) and which a User would reasonably expect, and will be free from defects or flaws;
(o) Vouchers are single-use and cannot be partially-redeemed, meaning they are used completely during their initial and only redemption (even if the value of the goods/services a User requests is less than the face value of the Voucher);
(p) Vouchers are not redeemable or exchangeable for cash, unless required by law;
(q) Changing your business’ and Campaigns’ descriptions on the Platform does not mean you are no longer obliged to offer Users who have already bought your Vouchers the previous goods/services provided;
(r) You will inform us as soon as reasonably possible if any of these aforesaid points change or become inaccurate.

19. Sub-Contracting and Assignment

We can at any time assign, transfer, charge, delegate, subcontract or deal in any other manner with all or any of our rights or obligations under this Agreement, without notice to you, such as but not limited to a present or future affiliate, or pursuant to our acquisition, merger, consolidation, reorganisation or sale of all or substantially all of our assets or business, or under direction of law.
You are entitled to assign, transfer, charge, delegate, subcontract or deal in any other manner with all or any of your rights or obligations under this Agreement, provided you have our express prior written consent.

20. Returns and Refunds

Users may request refunds from you for Vouchers or Gifts they have personally bought within fourteen (14) days of placing the initial purchase, for any reason, providing they have not already redeemed those Vouchers. You are financially responsible for any refunds, which you may enact through your Partner Account or your payments processor (such as a Stripe account), and associated cancelling of the Vouchers, which you may enact through your Partner Account or associated platform connected by the Steppr API (such as a website created using Shopify). We advise using your Partner Account for both. You agree to process these refunds within the subsequent fourteen (14) days from the initial request, and also you agree to ensure that your account with the payments processor that directly receives customer payments will always have and maintain sufficient funds in relation to purchases and refunds as stipulated by any applicable laws.
You agree that we have the right to demand a refund for a Voucher and or Gift, which must be enacted by you, at any time following the initial purchase, and for any reason. Reasons may include a User making us aware they are dissatisfied with the level of service and/or quality of goods/services you have provided upon redemption, or that you misrepresented your business prior to their purchase of a Voucher and or Gift. You agree that Steppr owes you no financial compensation for this or any related loss you may incur.
If a Voucher has been redeemed, your own Returns & Refunds Policy applies alongside any applicable laws. Returns in exchange for replacements or other goods/services do not involve us and are between you and the User only. Neither we nor you are responsible or liable for Vouchers or Gifts that are lost or stolen.
You also agree that, if we deem it necessary, we may also enact a refund of a Voucher or Gift and cancellation of a Voucher, at our discretion, for which you are financially responsible. This may be if, for example, you do not respond to a customer refund request within fourteen (14) days. Please note, if a User is refunded for a Voucher (or Gift) they may still progress, following the initial purchase, within a Campaign’s sequential discounts.

21. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend and hold Steppr and any of its subsidiaries, affiliates, other Partners, directors, officers, shareholders, agents, contractors, licensors, subcontractors, service providers, employees, interns, suppliers, Users and End-Recipients harmless from and against any and all claims, demands, causes of action, lawsuits, investigations, penalties, damages, losses, costs and expenses (including legal fees) incurring or arising out of or in connection, directly or indirectly, with:
(a) Your access to, use or misuse of our Service;
(b) A breach by you of any part of this Agreement, or of the other documents, provisions or clauses they incorporate by reference;
(c) Your sales or other tax obligations arising from the sale and redemption of a Voucher or Gift;
(d) Any claim from any form of government (including local and national) for funds and payment relating to Vouchers or Gifts and or Outstanding Vouchers;
(e) Any claim by a User or anyone else arising out of or relating to the goods/services you have provided to them, including but not limited to those such as false advertising, defects, injuries caused, death or damages to property;
(f) Any claim by a User for the amount they originally paid to purchase your Voucher and or Gift;
(g) Any Content you upload, store, distribute, post or otherwise transmit to the Service or Steppr;
(h) Any claim arising from your own negligence, fraud or wilful misconduct; or
(i) Your violation of any law, regulation, or the rights of any third party.

22. Limitation of liability

Except for your indemnification and other obligations in this Agreement or other documents referred to, in no instance or event shall you or Steppr (including respective directors, officers, employees, interns, shareholders, agents, contractors, suppliers, licensors, service providers and other Partners) be liable or obligated to each other, or any third party, whether in contract, tort, breach of statutory duty or otherwise, for any indirect, incidental, exemplary, punitive, special or consequential damages, even if informed of the possibility of such damages in advance, arising from a breach of this Agreement or from any other provision or clause of this Agreement, such as but not limited to any loss or anticipated loss of revenue, profits, reputation, goodwill, business. Neither we, nor you, are liable or responsible for events that are beyond either of our reasonable control, including issues such as a power failure, act of terrorism, or act of war. If such an issue continues for a period of ninety (90) days, either of us may terminate or cancel their respective responsibilities under this Agreement. We accept no responsibility or liability for claims against you from Users.
Despite our best efforts, it is possible that there may be some errors within this Agreement and our Service, and you expressly agree that any reliance on these is at your own risk. We express or imply no representation, warranty or guarantee of any kind relating to our Service, how it is stated, displayed or expressed, its content, reliability, quality, accuracy, completeness, advising of or assessing its suitability for you, timeliness or availability, or that it is up-to-date, or for any other part of Steppr. No specified refresh date, update or other timestamp applied in the Service, any related website or mobile application, or these Terms, should be taken to indicate the displayed content has been in any way modified or updated. We are not responsible or liable for any interruptions, changes, mistakes, software bugs, defects, errors, hacking attempts, electronic viruses or omissions with regards to Steppr or the Service, or any other technological problems. If any errors occur during our Service in relation with a Partner, or a User, we reserve the right to correct such errors where necessary. From time to time we may schedule planned maintenance of our Service, which we shall endeavour to provide prior notice to you for beforehand.
Our or our related parties’ sole and complete liability, for any claims arising out of or relating to this Agreement, any errors, omissions or misplacements of any Vouchers or Gifts, or other claims arising through use of our Service, is limited to the total amount of Gifting Fee received by us in relation to your Voucher sales under the Agreement for the preceding one (1) month, or from the start of the most recent and ongoing Campaigns, whichever is less, after the final calculation and reconciliation of all refunds. The limitations detailed in this section of the Agreement apply to the maximum extent applicable by law. They do not limit or exclude our, or our related parties’, liability for death or personal injury caused by negligence, or for fraud, intentional, malicious, wilful or reckless misconduct, or for any matter which cannot be excluded or limited under applicable law. With or without your prior consent, if we pay any fees or incur any expenses as a result of your obligations to, or dealings with, a User, that are your responsibility to pay as defined by this Agreement, you agree to reimburse us within thirty (30) days.

23. Suspension and Termination

You may suspend or terminate this Agreement with respect to us and request deletion of your Partner Account for any reason and at any time, by contacting us and giving us thirty (30) days’ notice. Within this period, we will delete your Partner Account.
Steppr has the right to suspend or terminate this Agreement with respect to you for any reason and at any time. We will endeavour to provide you with thirty (30) days’ notice. Reasons we may not give you the full notice include but are not limited to: (a) if you are in breach of any part of the Agreement; or (b) if you are, or, in our opinion, may be about to experience financial distress related to issues including but not limited to bankruptcy, insolvency, administration and liquidation that make it unlikely you will honour the redemption of Vouchers you intend to sell; or (c) if we are of the opinion that delaying the termination would expose us or a third party to risk of harm or damage. We reserve the right to block or prevent a business or Partner’s future use of any part of the Platform or Service at our sole discretion.
If you have Outstanding Vouchers and wish to suspend or terminate the Agreement, the aforesaid suspension or termination in no way affects your obligation to redeem those Outstanding Vouchers according to the terms of this Agreement. In requesting to terminate the Agreement, you are also confirming you have adequately stored records of your Outstanding Vouchers to ensure they can be redeemed without any assistance from our Platform. You may contact us if you need assistance with this, and we will help if we believe we reasonably can. You, not Steppr, are liable to compensate users for the total payments they made for your Outstanding Vouchers if they are unable to be redeemed.
Provisions written in this Agreement that are intended to survive after termination will continue following termination in full force and effect.

24. Non-compliance with Our Terms

If you make use of our Service and also fail to comply with our Terms, we may take actions we deem most appropriate, including but not limited to:
(a) Issuing you with a warning by email;
(b) Restricting your use of, or banning you (temporarily or permanently) from parts or all of our Platform and Service;
(c) Deleting any and all of your Partner Accounts and/or terminating this Agreement;
(d) Taking legal action against you including proceedings for reimbursement and recuperation of any related costs (including our legal and administrative expenses); and
(e) Disclosing relevant information to law enforcement or other relevant authorities.

25. User Privacy & Data

Any User information you gain through the sale of Vouchers or Gifts to Users, including names, email addresses and Voucher codes they now own themselves, may not be used for anything other than issues relating to the Service and requirements of yours described in this Agreement, except where you use VouchReach in accordance with Section 7 using customer details obtained independently of Steppr. You agree not to use any User information for marketing or other purposes. You also agree to abide by our User Privacy Policy with respect to your treatment of User data and ensuring it is kept secure, and warrant that you are fully compliant with GDPR. This relates to any user data connected to the Vouchers and Gifts that appears on your Partner Account, your payments processor account, and Checkout storage systems.
Any personal information a User subsequently provides to you upon redemption of their Voucher is unrelated to us, and it is your responsibility to safeguard any such information or otherwise complies with relevant laws and regulations.
Upon termination or expiry of this Agreement, or any other agreement with us to provide our Service to you, you shall destroy or return any User data you or any other agent or other affiliate of yours may have obtained, as directed by us, unless required to allow you to honour your withstanding commitments to the redemption or refunding of Outstanding Vouchers.

26. Data Breaches

If you suspect or become aware of any unauthorised access or breach of any data (including but not limited to our User data), you agree to notify us immediately, as well as any other authorities you are legally obliged to report such matters to. You also agree to cooperate with us in the investigation of any breaches or instances of unauthorised access, and the mitigation of any damages. You will bear any expenses associated with data breaches or instances of unauthorised access attributable to you, your own actions or inactions, and those which you should reasonably have foreseen and prevented.

27. Confidentiality

Confidential Information means any technical, financial or other information that is confidential, proprietary to Steppr or otherwise non-public and disclosed by us to you, and vice versa. The manner of disclosure includes but is not limited to electronic messaging (including email), post, verbal communication and by the inspection of tangible objects.
Both Parties agree not to disclose any Confidential Information about the other to any other party (other than their own employees, subsidiaries or parent companies, shareholders, legal, tax and accounting advisers who are bound by a duty of confidentiality, on a strictly need-to-know basis, or as required by law) without the express prior written permission of the other Party. If either Party does or is required to disclose any Confidential Information about the other, the disclosing Party must take reasonable precautions typical of those to preserve the confidentiality of such information. If either Party is required by law to disclose Confidential Information to another party, reasonable steps should be taken by the disclosing Party to ensure that only the strictly required information is disclosed, and that there is no information leakage to unnecessary third parties. This clause shall survive termination of this Agreement, however that may arise.
Confidential Information does not include that which: (a) was previously and lawfully known by both Parties without an obligation of confidentiality; (b) was acquired by one Party from a third party, with no obligation of confidentiality and the rights to make such a disclosure; (c) which becomes publicly available through no fault of either Party; (d) which becomes publicly available through no fault of the Party that does not own (or possess the rights over, or the equivalent) the Confidential Information; (e) is required to become public by law; or (f) the Party that owns (or possesses the rights over, or the equivalent) the Confidential Information gives the other Party prior express written permission to allow it to be publicly divulged.

28. Waiver

A waiver of any part or all of this Agreement is only effective if given in writing by one Party, and only applies to the Party to whom the waiver is addressed and to the circumstances for which it is given. No waiver by Steppr or any breach of any part or all of this Agreement by you should be considered as a waiver for any subsequent breach. Our failure to enforce or exercise any rights, provisions or clauses within this Agreement will not constitute a waiver of the enforcement of such a right, provision or clause.

29. Severability

Each of the parts and provisions in this Agreement operate independently. If any is found to be unlawful, unenforceable, invalid or void, it shall nonetheless be enforceable to the fullest permitted extent by the applicable law, and the unenforceable portion will be deemed to be severed from the Agreement. Such determination will not affect the enforceability and validity of any of the other remaining parts or provisions herein.

30. Entire Agreement

These Terms and any other documents, terms or policies referred to, or inferred, constitute our entire Agreement with you, and govern your use of our Service, superseding all prior or contemporaneous agreements, arrangements, communications and proposals, whether written or oral, between you and Steppr. Our Agreement with you may only be amended or modified by mutual agreement of authorised representatives of each Party, in writing. Any person or entity who is not a Party to this Agreement does not have any rights under or in connection with it. This Agreement may be executed in one or more counterparts, which may be exchanged by facsimile, email or other electronic means, each of which will be deemed an original, and together they constitute one and the same Agreement.

31. Amendments to the Agreement

The Terms may be modified, updated or otherwise changed from time-to-time, at our sole discretion, effective upon posting of an updated version of the publicly accessible parts to the Website. We will give you notice of any such changes by email, if necessary, and you are also responsible for regularly checking our Website to review them. Continued use of our Service signifies your consent to any changes.
Should we need to make any significant changes to the Agreement, for any reason both within or outside of our control, once you have already begun to make use of our Service, you will have the option to discontinue use of our Service, although any obligations you have as a result of our prior Service remain intact. We will try to keep any such changes to a minimum, for practical purposes.

32. Term of the Agreement

This Agreement commences on the Effective Date and shall continue indefinitely until terminated by either Party.

33. Regulations and the law

You agree that the laws of England and Wales will govern this Agreement and any separate agreements in relation to you and Steppr, including any disputes that may arise in connection with them, their subject matter or formation, including non-contractual claims. If you suspect fraudulent or other unlawful activity is taking place with respect to the purchasing of your Vouchers or Gifts, please inform us immediately so that we may take appropriate actions, which may include cancelling those Vouchers. You may contact us through your Partner Account or by emailing us at team@steppr.com.

34. Service Development and New Tools

We may communicate with you regarding your use of our Service, for reasons including aiding your understanding of it and efforts to correct any issues we may identify. We may also solicit your opinion for market research or improvements to our Service. This may be via email, or through other means you may have provided us with. We will not provide any of your details to third parties without your express written permission, unless required to do so by law. We may, in the future, introduce, offer, display, show or incorporate new services, tools, resources or features to the Service.

35. Communicating with You

All notices and requests under this Agreement must be in writing and signed by, or on behalf of, the Party giving notice (or a duly authorised representative of that Party). Notices should be sent using the most up-to-date contact details available.
Notices and requests shall be deemed to have been duly given: (a) when delivered, if sent in the ordinary course of post/mail, or by courier or other messenger (including registered mail), during the normal business hours of the recipient; or (b) when sent, if transmitted by facsimile or email and a successful transmission report or return receipt is generated.

36. Contact Us

We welcome your impressions, feedback and suggestions about our Platform and Service. In providing us with any of this type of information, you understand that you irrevocably assign us all rights, titles and interests in and to the content of such communications. If such assignment is invalid, for any reason, you grant us a perpetual, paid-up, royalty-free and non-exclusive, worldwide, irrevocable, freely transferrable right and license to use, reproduce, perform, display, distribute, adapt, re-format and create derivative works of the feedback or suggestions, for any purpose, and to sublicense the foregoing rights to any other person or entity.
You warrant that any feedback or suggestions you submit to us are your own, original work, or are clearly attributed to the correct originator of the work and/or obtained in a lawful manner, and that our, or our sublicensees’, exercising of rights under the license above will not violate any other parties’ (person or entity) rights. You agree to provide us with any documentation, evidence or other assistance we may reasonably require in order to record or maintain these rights.
We also welcome any queries or complaints you may have that we may be able to help you with, or any other communications. Please contact us using the details found on our Website or by emailing us at team@steppr.com. Alternatively, you can send us physical correspondence at Steppr Limited, 128 City Road, London, United Kingdom, EC1V 2NX.
